These Terms govern your use of https://kdscybersecurity.com and any services provided by KDS Cyber Security LLC (“KDS”, “we”, “us”), a Florida limited liability company. By using the Site or engaging our services you agree to these Terms.
1. Who we work with
Our services are offered to businesses and organizations worldwide, except where U.S. sanctions or export control laws prohibit it. We do not provide services to any person or organization that is located, organized or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or that appears on a U.S. government restricted-party list, such as the Specially Designated Nationals and Blocked Persons (SDN) List maintained by the Office of Foreign Assets Control (OFAC).
By using our services, you confirm that neither you nor the organization you represent falls into these categories, that you are at least 18, and that you are authorized to act for that organization. We may decline or end any engagement where required to comply with sanctions or export control laws.
2. Services and engagements
We provide AI agent development, AI integration and process automation, AI security and governance, and cybersecurity consulting. Scope, deliverables, timelines and fees for each engagement are set in a separate written agreement or statement of work (“Engagement Agreement”), which prevails over these Terms if they conflict. Pricing is quoted individually for each engagement.
3. AI systems and outputs
- AI systems can produce inaccurate, incomplete or unexpected output. We design agents with guardrails, testing and human-review points appropriate to their risk, but we do not guarantee that any output will be error-free.
- You remain responsible for how you use AI outputs in your business, for decisions made with them, and for configuring human review where the law or your risk profile requires it.
- You are responsible for having the rights and legal bases to provide the data that agents process, and for meeting the AI transparency duties that apply to you as a provider or deployer (for example, under Article 50 of the EU AI Act). We build disclosure features to support this.
4. Authorization for security testing
Security testing, including AI red-teaming and penetration testing, is performed only on systems you own or are authorized in writing to test, and only after a signed authorization. You agree to indemnify us against claims arising from inaccurate authorization.
5. Acceptable use
- Do not use the Site or services for unlawful or harmful purposes.
- Do not attempt unauthorized access to the Site or our systems.
- Do not disrupt the Site, including by automated abuse, scraping or denial of service.
- Do not submit false information through our forms.
6. Intellectual property
The Site and its content belong to us or our licensors. Ownership of deliverables, including agent configurations, prompts, code and documentation created for you, is defined in the Engagement Agreement.
7. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for the engagement, subject to any separate NDA.
8. Disclaimers
The Site is provided “as is”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Estimates shown on the Site, including ROI or savings calculations, are illustrative and not a promise of results.
9. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for a claim relating to the services is limited to the fees paid for the engagement giving rise to the claim, unless the Engagement Agreement says otherwise.
10. Indemnification
You will indemnify and hold us harmless from claims arising from your breach of these Terms, your misuse of the Site or services, or your violation of law or third-party rights.
11. Governing law and venue
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Subject to any arbitration clause in an Engagement Agreement, the state or federal courts in Miami-Dade County, Florida, have exclusive jurisdiction.
12. Changes
We may update these Terms. Continued use of the Site after an update means you accept the revised Terms.
